Terms of Service

Effective date: 5 November 2026 Last updated: 5 November 2026

These terms are an agreement between Silver Horizon Digital ("we", "us") and the business that signs up for QuoteBalance ("you", the "subscriber"). QuoteBalance is a web app and installable web app (PWA) for creating quotes, tracking jobs and sending invoices, offered at quotebalance.co.za.

By creating an account or using QuoteBalance, you agree to these terms, our Privacy Policy and our Acceptable Use Policy. If you don't agree, don't use QuoteBalance.

Seller information required by section 43 of the Electronic Communications and Transactions Act (ECTA) is on our Seller information page. The seller is Ryan Bradley Roby trading as Silver Horizon Digital, 11 Balvicar Road, Blairgowrie, Randburg, 2194, Gauteng, South Africa.

1. Who can use QuoteBalance

2. Plans, billing and payment

3. Cancellation and refunds

4. Your quotes, invoices, prices and tax

QuoteBalance is a tool. You are responsible for the documents you create and send with it, including: - the prices, descriptions, quantities, deposits, terms and validity periods on your quotes and invoices; - whether you are a VAT vendor, the VAT rate (QuoteBalance defaults to 15% but you can change it), and whether you show VAT at all. Non-VAT-registered businesses must not charge VAT or call a document a "tax invoice"; - meeting the requirements of the VAT Act (including section 20 for tax invoices), the Consumer Protection Act (including section 15 on estimates, where it applies) and any other law that governs your trade; - the work you quote for, and your agreement with your own customer. We are not a party to it; - checking totals and documents before you send them. We aim for accurate calculations but don't give tax, accounting or legal advice.

Payments to you. If you connect your own PayFast account, your customers pay you directly through PayFast under PayFast's terms with you. We never hold your customers' money and are not the merchant of record for your sales. PayFast's fees and payout rules are between you and PayFast. Payment status in QuoteBalance relies on PayFast's notifications and on what you record manually, so check your PayFast account for the definitive position.

5. Your data and our licence to use it

6. Our intellectual property

QuoteBalance, its software, design, templates, brand and documentation belong to Silver Horizon Digital or its licensors. While you're subscribed and follow these terms, we give you a limited, non-exclusive, non-transferable right to use QuoteBalance for your own business. You may not copy, modify, reverse-engineer (except where the law allows), resell or sub-license QuoteBalance. If you send us feedback or ideas, we may use them without obligation to you.

7. Availability and support

8. Liability

9. Ending the agreement, export and deletion

10. Data processing (POPIA operator terms)

This section is the written contract required by sections 20 and 21 of the Protection of Personal Information Act, 2013 (POPIA).

10.1 Roles. For the personal information of your customers and contacts that you put into QuoteBalance (for example names, phone numbers, email and street addresses, job details and the record of a customer viewing or accepting a quote, including the time and IP address) ("Customer Data"): - you are the Responsible Party; and - Silver Horizon Digital is your Operator.

For your own account, billing and contact details, we are the Responsible Party, as our Privacy Policy explains.

10.2 Your instructions. We process Customer Data only to provide QuoteBalance to you, on your documented instructions (these terms, your settings and how you use the app), and as required by law. If the law requires other processing, we'll tell you first unless the law forbids it. We will not sell Customer Data or use it for our own marketing.

10.3 Confidentiality (s20). We treat Customer Data as confidential and don't disclose it except as these terms allow or the law requires. Only people who need access to run or support QuoteBalance get it, and they are bound by confidentiality.

10.4 Security (s19, s21). We maintain reasonable technical and organisational measures to protect Customer Data against loss, damage, and unauthorised access or processing. These include encrypted (HTTPS/TLS) connections, access limited by role and by business, separation of each business's data, encryption of stored payment-provider credentials and banking details, backups and monitoring. We review these measures as risks change.

10.5 Security compromises (s21(2), s22). If we have reasonable grounds to believe Customer Data has been accessed or acquired by an unauthorised person, we will notify you without undue delay and in any event within 72 hours of becoming aware, with the information we have, and help you meet your own notification duties to the Information Regulator and the affected people under section 22.

10.6 Sub-processors. You authorise us to use the sub-processors listed in our Privacy Policy to provide QuoteBalance. We'll bind each one to written terms that protect personal information to a standard no lower than this section. We'll give at least 30 days' notice of a new sub-processor by email or in-app. If you have a reasonable data-protection objection, you may cancel and receive a pro-rata refund of prepaid fees. We remain responsible to you for our sub-processors' processing.

10.7 Cross-border transfers (s72). Our main database is hosted in South Africa, by Google Cloud in its Johannesburg region. Some sub-processors may process Customer Data outside South Africa. We will transfer it only as section 72 allows, mainly under binding data processing agreements that give protection substantially similar to POPIA.

10.8 Helping you. Taking into account what QuoteBalance does, we'll give reasonable help with: - requests from your customers to access, correct or delete their information (POPIA ss23–25). If a request comes to us directly, we'll pass it to you rather than answer it ourselves, unless the law requires otherwise; - your security, breach-notification and impact-assessment obligations; and - enquiries from the Information Regulator about Customer Data.

10.9 Return and deletion. When your account closes we return Customer Data through the export described in section 9, then delete it as section 9 describes, unless the law requires us to keep it.

10.10 Your promises. You confirm that: - you have a lawful basis under POPIA (section 11) to collect Customer Data and to have us process it for you; - you tell your customers how you use their information, including that you use a third-party tool to prepare and send quotes and invoices (section 18); - any messages you send through or from QuoteBalance, by WhatsApp, email, SMS or any other channel, are lawful. Quotes, invoices and reminders about work the customer asked for are transactional. Direct marketing must comply with section 69 of POPIA (opt-in consent, or an existing customer with an opt-out in every message); - you won't upload special personal information (such as health, religion or criminal records) or children's information unless you need it for the job and have a lawful basis; and - you'll keep your users' access appropriate and remove people who no longer need it.

10.11 Audit. On reasonable written request, no more than once a year (except after a security compromise), we'll answer reasonable questions about our data protection measures in writing.

11. Acceptable use

Your use of QuoteBalance must follow our Acceptable Use Policy, which forms part of these terms.

12. Changes to these terms

We may update these terms. For material changes we'll give at least 30 days' notice by email or in the app before they take effect, unless the change is needed sooner by law or for security. If you continue using QuoteBalance after a change takes effect, the new terms apply. If you don't agree, you can cancel before then, and any prepaid fees for the unused period of a paid plan will be refunded pro rata.
